Welcome to Elesari, Inc. This License Agreement (“Agreement”) governs your access to and use of software solutions, applications, tools, and related services provided by Elesari, Inc. (“Elesari,” “we,” or “our”). By downloading, installing, accessing, or using our software, you acknowledge that you have read, understood, and agree to be bound by the terms outlined in this Agreement. If you do not agree to these terms, you may not use the software.
- Grant of License
Elesari grants you a non-exclusive, non-transferable, limited license to access and use the software strictly for your internal business or personal purposes, depending on the license type purchased. This license permits you to install and use the software on authorized devices only.
The license does not grant you any rights to:
• Distribute, lease, rent, or sublicense the software
• Use the software to create competing products or services
• Exploit the software for commercial purposes beyond the scope permitted by your license
- Installation and Access
You are responsible for ensuring that your hardware, network, and system environment meet the software requirements. Elesari is not liable for performance issues caused by incompatible systems, unauthorized modifications, or third-party software conflicts.
- Intellectual Property Rights
All intellectual property rights, including but not limited to copyrights, patents, trademarks, trade secrets, and proprietary technology, remain the exclusive property of Elesari. This Agreement does not grant you ownership or title to the software or any associated content.
You may not:
• Copy, reproduce, or create derivative works based on the software
• Remove or alter any proprietary notices, branding, or labels included in the software
- Updates, Upgrades, and Enhancements
Elesari may provide updates, upgrades, patches, or enhancements to the software. Unless otherwise specified, such updates are considered part of this Agreement and are subject to the same terms. Elesari reserves the right to discontinue support or updates for any version of the software at its discretion.
- Data and Privacy
Use of the software may involve the collection, storage, or processing of data. You agree to comply with applicable privacy and data protection laws and to use the software responsibly. Elesari’s collection and use of data are governed by our Privacy Policy, which is incorporated into this Agreement by reference.
- Restrictions
You may not, under any circumstances:
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software
• Modify, adapt, or translate the software without prior written permission
• Use the software to transmit malicious code, infringe on third-party rights, or violate any applicable law
- Termination
This Agreement remains effective until terminated. Elesari may terminate your license immediately if you fail to comply with any terms of this Agreement. Upon termination, you must:
• Cease all use of the software
• Remove the software from all devices and destroy any copies in your possession
• Refrain from accessing Elesari services associated with the software
- Warranty Disclaimer
The software is provided “as is” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Elesari does not guarantee that the software will meet your requirements, operate uninterrupted, or be free from errors or security vulnerabilities.
- Limitation of Liability
To the maximum extent permitted by law, Elesari shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to the use of the software, including loss of revenue, data, or business opportunities. This limitation applies regardless of whether liability arises from breach of contract, negligence, strict liability, or other legal theories.
- Indemnification
You agree to indemnify, defend, and hold harmless Elesari, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, or expenses, including reasonable attorneys’ fees, arising from your use of the software, violation of this Agreement, or infringement of third-party rights.
- Governing Law and Dispute Resolution
This Agreement is governed by the laws of the state in which Elesari, Inc. is incorporated, without regard to conflicts of law principles. Any disputes arising under or in connection with this Agreement shall be resolved in the courts of that jurisdiction, and you consent to the exclusive jurisdiction and venue of such courts.
- Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement
This Agreement, together with any applicable order forms, policies, or supplementary documents, constitutes the entire agreement between you and Elesari regarding your use of the software and supersedes all prior agreements or understandings, whether written or oral.
